1 Friendly consultations
友好协商
In the event of any dispute, controversy or claim (collectively, “dispute”) arising out of or relating to this Contract, or the breach, termination or invalidity hereof, the Parties shall attempt in the first instance to resolve such dispute through friendly consultations.
如果发生由本合同（或者违反、终止或者无效）引起或者与其相关的争议、纠纷或者索赔（统称“争议”），双方首先应争取通过友好协商来解决争议。
2 Arbitration
If any dispute is not resolved by friendly consultations within [sixty (60)] days after the date such consultations were first requested by a Party, then any Party may submit the dispute for arbitration in [Singapore] before the [Singapore International Arbitration Centre] in accordance with its rules of arbitration procedure, supplemented by the following:
如果某一争议未在一方首次提出协商之日后[六十（60）]日内通过友好协商解决，则任何一方可将该争议提交[新加坡国际仲裁中心]在[新加坡]仲裁，仲裁按照[该中心]仲裁程序规则进行，同时应遵循以下补充规定：
(a) There shall be one (1) arbitrator appointed by the arbitration body.
仲裁由该仲裁机构指定的一（1）位仲裁员审理。
(b) The arbitration proceedings shall be conducted in the English language.
仲裁程序用[ ]文进行。
(c) The arbitration award shall be final and binding on theParties, and the Parties agree to be bound thereby and to act accordingly.
仲裁裁决为终局性的，对双方均有约束力，双方同意受该裁决的拘束并且依照裁决执行。
(d) All costs of arbitration shall be borned by the Parties as determined by the arbitration tribunal..
所有仲裁费用由双方根据仲裁庭作出的决定承担。
3 Continuing Rights and Obligations
持续的权利和义务
When any dispute occurs and is the subject of friendly consultations or arbitration, the Parties shall continue to exercise their remaining respective rights and fulfil their remaining respective obligations under this Contract, except in respect of those matters under dispute.
当某一争议已发生并且正在通过友好协商或仲裁解决时，双方可继续行使其各自在本合同项下的其他权利，同时应继续履行其各自在本合同项下的其他义务，但与争议事项有关的权利和义务除外。
4 Enforcement of Award
裁决的执行
Judgment upon any arbitral award may be entered in any court having jurisdiction over the Party against which the award has been rendered, or application may be made to any such court for judicial acceptance of the award and an order of enforcement, as the case may be. In the event of judicial acceptance and an order of enforcement, each Party expressly waives all rights to object thereto, including any defense of sovereign immunity and any other defense based on the fact or allegation that it is an agency or instrumentality of a sovereign state.
仲裁胜诉方可请求对仲裁败诉一方有管辖权的法院作出相应判决，或者向该法院申请对仲裁裁决予以司法承认并发布强制执行令（以适用者为准）。在法院对仲裁裁决予以司法承认并发布强制执行令的情况下，双方特此明确放弃其提出抗辩的所有权利，包括以主权豁免作为抗辩事由，以及基于其是一个主权国家的机构或部门的事实或主张的其他抗辩事由。
5 Injunctive Relief
申请禁制令的司法救济权利
Notwithstanding the foregoing, the Parties agree that each Party has the right to seek injunctive or other similar relief in any court of competent jurisdiction in respect of any claims of breach of confidentiality or IPR infringement.
无论本合同前述条款有何规定，双方同意如果一方提出对方违反保密条款或侵犯知识产权的指控，则提出指控一方可向任何一个有管辖权的法院申请发布制止侵权、违约行为的禁制令或采取其他类似救济措施。
Applicable Law
适用法律
The validity, interpretation and implementation of this Contract shall be governed by the laws of [the People’s Republic of China][another jurisdiction] (without regard to its rules governing conflict of laws).

1 Term

1 Remedies for Breach of Contract
违约救济
Except as otherwise provided herein, if a Party (“breaching party”) fails to perform any of its material obligations under this Contact, then the other Party (“aggrieved party”) may at its option:
除本合同其他条款另有规定外，如果一方（“违约方”）未履行其在本合同项下某项主要义务，则对方（“受损害方”）除享有有关法律赋予的权利外，还可选择采取以下救济措施：
(a) give written notice to the breaching party describing the nature and scope of the breach and demand that the breaching party cure the breach at its cost within a reasonable time specified in the notice (“Cure Period”); and
向违约方发出书面通知，说明违约的性质以及范围，并且要求违约方在通知中规定的合理期限内自费予以补救；并且
(b) if the breaching party fails to cure the breach within the Cure period, then in addition to its other rights under Article .1(c)(i) (Termination) or Applicable Laws, the aggrieved party may claim direct and foreseeable damages arising from the breach.
如果违约方未在该书面通知中规定的补救期内予以补救，则受损害方可就违约引起的可以预见的直接损失提出索赔。

Notwithstanding any other provision of this Contract, neither Party shall be liable to the other Party for damages for loss of revenues or profits, loss of goodwill or any indirect or consequential damages in connection with the performance or non-performance of this Contract .The aggregate liability of a Party for all claims for any loss, damage or indemnity whatsoever resulting from such Party’s performance or non-performance of this Contract shall in no case exceed United States Dollars (US$ ) or the RMB equivalent thereof.
无论本合同其他条款有何规定，任何一方均不向对方承担因本合同的履行或不履行而造成的收入或利润丧失、商誉丧失或任何间接或附带性损失的赔偿责任。在任何情况下，一方因本合同的履行或不履行而造成的损失、损害或补偿索赔所承担的责任累计总额不得超过[ ]美元（US￥[ ]）或等值的人民币。

11.装运通知：一俟装运完毕，卖方应即电告买方合同号、品名、已装载数量，发票总金额，毛重，运输工具名称及启运日期等。
shipping advice : the sellers shall immediately , upon the completion of the loading of the goods , advise the buyers of the contract no , names of commodity , loaded quantity , invoice values , gross weight , names of vessel and shipment date by tlx/fax.
12.检验与索赔：
inspection and claims:
①卖方在发货前由 检验机构对货物的品质、规格和数量进行检验，并出具检验证明书。
the buyers shall have the qualities , specifications , quantities of the goods carefully inspected by the inspection authority , which shall issue inspection certificate before shipment.
②货物到达目的的口岸后，买方可委托当地的商品检验机构对货物进行复检。如果发现货物有损坏、残缺或规格、数量与合同规定不符，买方须于货到目的口岸的 天内凭 检验机构出具的检验证明书向卖方索赔。
the buyers have right to have the goods inspected by the local commodity inspection authority after the arrival of the goods at the port of destination. if the goods are found damaged / short / their specifications and quantities not in compliance with that specified in the contract, the buyers shall lodge claims against the sellers based on the inspection certificate issued by the commodity inspection authority within days after the goods arrival at the destination.
③如买方提供索赔，凡属品质异议须于货到目的的口岸之日起 天提出;凡属数量异议须于货到目的口岸之日起 天提出。对所装货物所提任何异议应由保险公司、运输公司或邮递机构负责的，卖方不负任何责任。
the claims , if any regarding to the quality of the goods shall be lodged within days after arrival of the goods at the destination , if any regarding to the quantities of the goods , shall be lodged within days after arrival of the goods at the destination . the sellers shall not take any responsibility if any claims concerning the shipping goods is up to the responsibility of insurance company / transportation company /post office.
13.人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履约，卖方概不负责，但卖方应将上述发生的情况及时通知买方。
force majeure : the sellers shall not hold any responsibility for partial or total non-performance of this contract due to force majeure . but the sellers shall advise the buyers on times of such occurrence.
14.争议之解决方式：
disputes settlement :
任何因本合同而发生或与本合同有关的争议，应提交中国国际经济贸易仲裁委员会，按该会的仲裁规则进行仲裁。仲裁地点在中国深圳。仲裁裁决是终局的，对双方均有约束力。
all disputes arising out of the contract or in connection with the contract , shall be submitted to the china international economic and trade arbitration commission for arbitration in accordance with its rules of arbitration in shenzhen , china . the arbitral award is final and binding upon both parties.
15.法律适用
law application :
本合同之签订地、或发生争议时货物所在地在^v^境内或被诉人为中国法人的，适用^v^法律，除此规定外，适用《联合国国际货物销售公约》。
it will be governed by the law of the people’s republic of china under the circumstances that the contract is singed or the goods while the disputes arising are in the people’s republic of china or the deffendant is chinese legal person , otherwise it is governed by united nations convention on contract for the international sale of goods .
本合同使用的fob、cfr、cif、ddu 术语系根据国际商会《incoterms 1990》
16.文字：本合同中、英两种文字具有同等法律效力，在文字解释上，若有异议，以中文解释为准。
versions : this contract is made out in both chinese and english of which version is equally effective .conflicts between these two language arising therefrom . if any , shall be subject to chinese version .
