五、租金：

六、保证金：
security deposit:
为确保出租房屋及其设施之安全并完好及租赁期内相关费用之如期结算，乙方同意于签订合同10天内支付给甲方贰个月租金的租赁押金计__________________***作为乙方确保合同履行之保证金。乙方搬入后十天内付壹个与租金计______________***。

除合同另有约定之外，甲方应于租赁期满或此合同提前终止之期且乙方透空、点清并付清所有应付费用后，当天将保证金全额无息退还乙方，如保证金以***支付，届时也应以***形式退还。

七、其他费用：
other charges:
乙方应承担租赁期内实际使用而产生的水、电、液化气费、电话费并按单自行如期交纳所属管理公司或有关机构。

八、甲方的责任：
party a’s obligations:
甲方须按时将出租房屋及其家私家具用品与其设施以良好状态交付乙方使用。
party a shall deliver on schedule to party bvacant possession of the leased property including the furniture,furnishing and appliances and the related facilities for party b’s use(furniture,furnishing and appliances to be detailed in appendisl.)
租赁期内甲方不得收回出租房屋(除非本合同另有规定)，甲方保证乙方可不受干扰的享用该物业。
party a shall not repossess the leased property during the term of party a disturb of interfere with party b’s quiet enjoyment of the leased property.
在乙方遵守本合同的条款及支付租金的前提下，乙方有权于租赁期内拒绝甲方或其他人骚扰而安静享用出租房屋。
proviede that party b pays the rent and performs and observes party b’s terms and conditions in accordavce with this agreement, party b shall be entitled to hold and enjoy the leased property throughout the term of this tenancy without any interruption by party a or any other person.
租赁期内出租房屋的结构，进出物业的排水、上下管道、电路等处于良好使用状态。
party a agrees to repair and maintain the structure,drains, pipes and cables, in to or from the leased property at all times in good and tenable repair during the term of this tenancy.
九、乙方的责任：
party b’s obligations:
乙方应按合同的规定，按时支付租金，保证金及其他各项应付费用。
party b shall promptly pay all rent ,security deposit and other charges payable by it in accordance with the terms of this agreement.
乙方应爱护使用出租房屋，如因乙方的过失或过错致使房屋设施及屋内用具和饰品受到损坏(正常损耗除外)，乙方应负赔偿责任。
paryt b shall treat the leased property with care. if as a result of party b’s negligence or misconduct, the leased property and the related facilities and accessorties suffer any damage(fair wear and tear excepted ),party b shall be responsible for compensating party a for such damages.
乙方应按本合同的约定合法使用出租房屋，不得擅自改变使用性质，不应存放*******法律下所禁止的危险物品，如因此发生损害，乙方应承担全部责任。

未经甲方事先书面同意，乙方不得将出租房屋转租或租给其他的第三者。

十、违约处理：
breach of agreement :
甲、乙任何一方如未按本合同的条款履行，构成违约，应承担相应的违约责任。双方同意违约方应赔偿守约方之直接损失***____________元。

乙方有下列行为之一的，甲方有权终止本合同，收回出租房屋，并且保证金不予返还;

a.未得甲方书面书面同意，将出租房屋擅自转租;
sublets the leased property without party a’s written consent;
b.未得甲方同意将出租房擅自拆改结构或改变用途的：
alters the structure of the leased property or uses the leased property other than for the purpose started herein without party a’s consent;
c.无故拖欠租金超过三天(除双方就本合同存在争议除外)。
fails to pay rent without any reason for more than thirty (30)days after the due date except where there is a dis* in respect of this agreement.
十一、适用法律：
applicable law:
本合同的成立，其有效性、结实、签署和解决与其他有关的一切纠纷均应受*法律的管辖并依据*法律解释。

十二、争议的解决：

凡因执行本合同所产生的或与本合同有关的一切争议，双方应通过友好协商解决;协商不成，应提交*国际经济贸易仲裁委员会，按其仲裁规则和*******仲裁法进行仲裁。仲裁解决是终局的，对双方都有约束力。

第一条 合同对象

第二条 价格

第五条 标记

第六条 支付
本合同所供应的货物之价款，由购方按照*银行和原苏联外经银行关于边境
贸易支付协议书所规定的办法及1990年3月13日“由*向苏联和由苏联向
*交货的共同条件”以瑞士法朗凭下列单据向售方支付：

第七条 保证和索赔
卖方在提供的商品投入使用之后12个月内保证商品质量，但不超过供货之日
起18个月。
对货物品质的异议应在发现缺陷后3个月内提出，如在保证期发现缺陷，提赔
日期不能迟于保证期结束30天。
如商品在保证期内出现缺陷，供货一方应排除缺陷或更换有缺陷的部分并负担
费用。
第八条 发货通知
售方应在发货后10天内以电传向购方通知有关货物自生产厂发运的情况，并
注明发运日期，合同号，发动机号，件数，毛重和铁路运单号。
第九条 仲裁
由本合同所产生或与本合同有关的一切纠纷，应尽可能通过双方谈判解决。如
双方不能达成协议，可提交被告国对外贸易仲裁机关**，中方国家对外贸易仲裁
为*对外贸易促进委员会，苏方为原苏联工商会。
第十条 不可抗力条款
双方任何一方发生不可抗力情况(如火灾、自然灾害、战争、各种军事行动、
封锁、禁止进出口或不以双方意志为转移的其它情况)，使本合同全部或部分义务
无法履行时，履行本合同义务的期限可相应推迟，在此期间合同义务仍然有效。
如果不可抗力情况持续30天以上，其中一方有权通知另一方**继续履行合
同义务，此时任何一方无权向对方提出补偿可能的损失。
无法履行本合同义务方应将不可抗力情况发生和结束及影响合同义务履行情况
立即通知对方。
不可抗力发生和持续的时间应以售方或购方有关商会出具的证明书证明。
第十一条 其它条件
本合同未尽事宜，双方均按1990年3月13日“由*向苏联和由苏联向
*交货共同条件”办理。
本合同一式两份，以中、俄两种文书就，两种文具有同等效力。

双方一致同意按下列条款签订本协议。
第1条定义
产品：本协议中所称“产品”，系指由甲方制造并以其商标销售的(产品名称)和随时经双方以书面同意的其他商品。
地区：本协议中所称“地区”，系指_________国_______________________。

第2条委任及法律关系
委任：在本协议有效期内，甲方委任乙方作为其**，以便在“地区”获致“产品”的订单。乙方愿意接受并承担此项委托。

第3条甲方的责任
广告资料：中方应按实际成本向乙方提供合理数量的“产品”样品、样本、价目表、广告宣传用的小册子及其他有关“产品”推销的辅助资料。
支付推销：甲方应尽力**乙方开展“产品”的推销;甲方不主动向乙方**“地区”的其他客户发盘。
转介客户：除本协议另有规定外，如“地区”其他客户直接向甲方询价或订购，甲方应将该客户转介乙方联系。
价格：甲方提供乙方的“产品”价格资料，应尽可能保持稳定，如有变动应及时通知乙方，以利推销。
优惠条款：甲方提供乙方获致订单的条款是最优惠的。今后如甲方向“地区”其他客户销售“产品”而提供比本协议更有利条件时，甲方应立即以书面通知乙方，并向乙方提供比此项更有利的条件。
保证：甲方担保凡根据本协议出售的“产品”如经证实在出售时质量低劣，并经甲方认可，则甲方应予免费修复或调换。但此项免费修复或调换的保证，以“产品”在出售后未经变更或未经不正确地使用为限。除上述保证外，甲乙双方均同意不提供任何其它保证。
第4条乙方的责任
推销：乙方应积极促进“产品”的推销，获取订单，并保持一个有相当规模和足够能力的推销机构，以利“产品”在“地区”的业务顺利开展和扩大。
禁止竞争：乙方除得到甲方书面同意外，不应制造、购买、获取订单、或协助推销与本协议“产品”相同或类似的其他国家商品，或将本协议内“产品”转销其他国家和地区。
最低销售额：在本协议有效期间的第一个十二个月内，乙方从“地区”客户获得的“产品”订单，总金额应不少于______元。以后每十二个月递增百分之十五。
费用：在本协议有效期内，乙方应承担在“地区”推销和获取“产品”订单的全部费用，如电报费、旅费和其他费用，本协议另有规定者除外。
“产品”价格与条件：乙方保证按照甲方在本协议有效期内随时规定的价格和条件进行推销。在获取订单时，乙方应充分告知客户，甲方的销售确认书或合同内的一些条款以及任何订单均须经乙方确认接受后方为有效。乙方收到的“产品”订单，应立即转给甲方以便予以确认或拒绝。
督促履约：乙方应督促买户严格按照销售确认书或合同的各项条款履约，例如及时开立信用证等等。
市场情况报导：乙方应负责每月(或每季)向甲方提供书面的有关“产品”的市场报导，包括市场上同类产品的销售情况、价格、包装、推销方式、广告资料、客户的反应和意见等。如市场情况发生重大变化时，乙方应及时以电报通知甲方。
第5条佣金
佣金率及支付方式：凡经乙方获得并经甲方确认的订单，甲方在收妥每笔交易全部货款后，将按**净售价付给乙方百分之_________佣金。为了结算方便，佣金每月(季)汇付一次。如有退货，乙方应将有关佣金退还甲方。
计算基础：上述“**净售价”系指甲方开出的“产品”**上的总金额(或毛售价)减去下列费用后的金额，但以这些费用业经包括在毛售价之内者为限：
(1)关税及货物税，
(2)包装、运费和保险费，
(3)商业折扣和数量折扣，
(4)退货的货款，
(5)延期付款利息，
(6)乙方佣金。
甲方直接成交的业务：凡乙方“地区”的客户，虽已了解甲乙双方的贸易关系，或经甲方转介与乙方，但仍坚持与甲方直接交易，则甲方有权与之成交，保留百分之_________佣金与乙方，并将此项交易作为本协议第款最低销售额的一部分。
如乙方“地区”的客户在*访问期间(包括参加在*举办的各种交易会)与甲方达成“产品”的交易，目的港为乙方**“地区”者，甲方有权接受其订单，但不为乙方保留佣金，亦不计入上述最低销售额。
超额佣金：如乙方在本协议有效期内积极推销“产品”并超额完成年度最低销售额(按实际出运金额计算)，甲方对超额部分除支付规定的佣金外，应另付乙方奖励佣金：
(1)超额百分之五十时，奖励佣金为百分之_________;
(2)超额百分之一百及以上时，奖励佣金为百分之_________。奖励佣金在年度终了由甲方结算后一次汇付乙方。
第6条协议有效期
本协议有效期为______年，期满自动失效。如双方同意延续本协议，任何一方应在期满______天前用书面通知对方以便相互确认
第7条协议的终止
终止：协议双方应认真负责地执行各项条款。在下列条件下，每一方得以书面通知另一方立即终止本协议或取消其中某一部分：
(1)如一方未能履行本协议的任何一项义务，而此项违约在接到另一方书面要求纠正的通知后______天内又未能加以纠正;或
(2)如一方自动或被迫申请宣告破产，自动或被迫申请改组、清理、解散、或对该方指定了产业管理人;或
(3)如发生违反本协议第8条有关商标使用或注册的情况;或
(4)如发生本协议第9条不可抗力事由，一方在超过_________天期限后仍无法履行其义务时。
终止的影响：本协议的终止并不**双方按照本协议规定业已产生但未了结的任何债务。凡在协议终止前由于一方违约致使另一方遭受的损失，另一方仍有权提出索赔，不应受终止本协议的影响。 乙方特此声明：由于终止本协议而引起的损害，乙方放弃要求补偿或索赔，但终止本协议前甲方应付乙方的应得佣金仍应照付。
第8条商标
甲方目前拥有和使用的商标、图案、及其他标记，均属甲方产权，未经甲方特别以书面同意，乙方均不得直接或间接地、全部或部分地使用或注册。即使甲方特别以书面同意乙方按某种方式使用，但在本协议期满或终止时，此种使用应随即停止并取消。
关于上述**，如发生任何争议或索赔，甲方有权立即单方面取消本协议并且不承担由此而产生的任何责任。
第9条不可抗力
任何一方由于人力不可抗拒事由，以致直接或间接地造成任何迟延或无法履行本协议全部或部分条款时，另一方不得提出索赔要求。此类事由包括：水灾、火灾、风灾、地震、海啸、雷击、疫病、战争、封锁、禁运、扣押、战争威胁、制裁、骚动、电力**、禁止进口或出口、或其它非当事人所能**的类似原因、或双方同意的其它特殊原因。
有关一方应在事故发生后_________天内以书面通知另一方，并提供当地有关机构的证明文件，证明不可抗力事故的存在。
第10条仲裁
凡有关协议或执行本协议而发生的一切争执，双方应通过友好协商解决。如协商不能解决，双方同意提交*国际经济贸易仲裁委员会按该会的仲裁规则进行仲裁。仲裁裁决是终局的，对双方都有约束力。任何一方不得再以诉讼或其他方式向**或其它机构申请变更。仲裁费用由败诉一方负担，仲裁裁决另有规定者按照规定办理。
第11条转让
要协议任何一方在未经征得另一方书面同意之前，不得将本协议规定的任何**和义务转让给第三者。任何转让，未经另一方书面明确同意，均属无效。
第12条协议生效及其他
生效日期：本协议自双方签之日起立即生效。
未尽事宜：本协议如有未尽事宜须加补充或修改时，应以书面提出并经双方正式授权的**签署后方能生效。
标题：本协议各项条款的标题仅为方便而设，不应限制或影响协议中任何条款的实质。
全部协议：本协议系双方关于本协议主题的全部协议和谅解。除本协议有明文规定者外，以前其它有关本协议主题的任何条件，声明或保证，不论是以书面或口头提出的，对双方都无约束力。
正式文本：本协议及附件以中文和英文缮就，每种文本有二正二副，签署后双方各执正副本各一份，两种文本具有同等效力。
*贸易：本协议不适用于双方*之间的贸易或甲方与乙方*之间达成的交易，亦不适用于易货贸易或投标交易。

第一条经购销双方协商交易活动，必须履行本合同条款。具体品类(种)，需签订要货成交单，并作为本购销合同的附件;本合同中的未尽事宜经双方协商需补充的条款可另附协议书，亦视为合同附件。合同附件与本合同具有同等效力。经双方确认的往来信函、传真、电子邮件等，将作为本合同的组成部分，具有合同的效力。
签订成交单，除上级规定按计划分配成交外，其余商品一律采取**选购，看样成交的方式。
第二条合同签订后，不得擅自变更和**。如甲方遇不可抗拒的原因，确实无法履行合同;乙方因市场发生骤变或不能防止的原因，经双方协商同意后，可予变更或**合同。但提出方应提前通知对方，并将“合同变更通知单”寄给对方，办理变更或**合同的手续。
按乙方指定花色、品种、规格生产的商品，在安排生产后，双方都需严格执行合同。如需变更，由此而产生的损失，乙方负担;如甲方不能按期、按质、按量按指定要求履行合同，其损失，甲方负担。
第三条成交单中的商品价格，由双方当事人商议决定，或以国家定价决定。
在签订合同时，确定价格有困难，可以暂定价格成交，上下幅度双方商定。
国家定价的商品，在合同规定的交(提)货期限内，如遇国家或地方行政部门调整价格，按交货(指运出)时的价格执行。
逾期交货的，如遇价格上调时，按原价执行;遇价格下调时，按新价执行。逾期提货的，遇价格上调时，按新价执行，遇价格下调时，按原价执行。由于调整价格而发生的差价，购销双方另行结算。
第四条运输方式及运输费用等费用，由双方当事人协商决定。
第五条各类商品质量标准，甲方严格执行合同规定的质量标准，保证商品质量。
第六条商品包装，必须牢固，甲方应保障商品在运输途中的安全。乙方对商品包装有特殊要求，双方应具体合同中注明，增加的包装费用，由乙方负担。
第七条商品调拨，应做到均衡、及时。对合同期内的商品可考虑按3 ∶3 ∶4 的比例分批发货;季节性商品按承运部门所规定的最迟、最早日期一次发货;当令商品，零配件和数量较少的品种，可一次发货。
第八条对有有效期限的商品，其有效期在2 /3 以上的，甲方可以发货;有效期在2 /3 以下的，甲方应征得乙方同意后才能发货。
第九条甲方应按乙方确定的合理运输路线、工具、到达站(港)委托承运单位发运，力求装足容量或吨位，以节约费用。
如一方需要变更运输路线、工具、到达站时，应及时通知对方，并进行协商，取得一致意见后，再办理发运，由此而影响合同期限，不以违约处理。
第十条商品从到达承运部门时起，所有权即属乙方。在运输途中发生的丢失、缺少、残损等责任事故，由乙方负责向承运部门交涉赔偿，需要甲方协助时，甲方应积极提供有关资料。乙方在接收商品时发现问题，应及时向承运部门索取规定的记录和证明并立即详细检查，及时向有关责任方提出索赔;若因有关单据未能随货同行，货到后，乙方可先向承运部门具结接收，同时立即通知甲方，甲方在接到通知后5 日内答复;属于多发、错运商品，乙方应做好详细记录，妥为保管，收货后10日内通知甲方，不能自行动用，因此而发生的一切费用由甲方负担。
第十一条商品的外包装完整，发现溢缺、残损串错和商品质量等问题，在货到半年内(贵重商品在7 天内)，责任确属甲方的，乙方可向甲方提出查询。
发现商品霉烂变质，应在30天内通知甲方，经双方共同研究，明确责任，损失由责任方负担。
接收进口商品和外贸库存转内销的商品，因关系到外贸查询，查询期为乙方收货后的60天，逾期甲方不再受理。
乙方向甲方提出查询时，应填写“查询单”，一货一单，不要混列。查询单的内容应包括唛头、品名、规格、单价、装箱单、开单日期、到货日期、溢缺数量、残损程度、合同号码、生产厂名、调拨单号等资料，并保留实物;甲方接到“查询单”后，10日内作出答复，要在30天内处理完毕。
为减少部分查询业务，凡一张调拨单所列一个品种损溢在2 元以下、残损在5 元以下均不做查询处理(零件除外)。对笨重商品的查询(如缝纫机头、部件等的残品)乙方将残品直接寄运工厂，查询单寄交甲方并在单上注明寄运日期。
第十二条商品货款、运杂费等款项的结算，购销双方应按*人民银行结算办法的规定，商定适宜的结算方式，及时妥善办理。
货款结算中，要遵守结算纪律，坚持“钱货两清”原则，分期付款应在成交单上注明。有固定购销关系的国营、供销合作社商业企业，异地货款结算可采用“托收承付”结算方式;对情况不明的交易单位，可采用信用证结算方式，或先收款后付货。
第十三条甲、乙双方的任何一方有违约行为的，应负违约责任并向对方支付违约金。因违约使对方遭受损失的，如违约金不足以抵补损失时，还应支付赔偿金以补偿其差额。如违约金过分高于或者低于造成的损失的，当事人可以请求人民**或者仲裁机构予以适当减少或者增加。
甲、乙两方所签订的具体合同要求，一方未能履行或未能完全履行合同时，应向对方支付违约合同货款总值___%的违约金。但遇双方协商办理变更或**合同手续的，不按违约处理。
自提商品，甲方未能按期发货，应负逾期交货责任，并承担乙方因此而支付的实际费用;乙方未按期提货，应按*人民银行有关延期付款的规定，按逾期提货部分货款总值计算，向甲方偿付逾期提货的违约金，并承担甲方实际支付的保管费用。
甲方提前交货和多交、错发货而造成的乙方在代保管期内实际支付的费用，应由甲方负担，乙方逾期付款的，应按照人民银行有关逾期付款的规定，向甲方偿付逾期付款违约金。
对应偿付的违约金，赔偿金，保管、保养费用和各种经济损失，应在明确责任后，10天内主动汇给对方，否则，按逾期付款处理，但任何一方不得自行用扣发货物或扣付货款充抵。
第十四条甲、乙两方履行合同，发生纠纷时，应及时协商解决，协商不成时，任何一方均可向仲裁机构申请仲裁或向人民****。(两者选一)

This letter confirms the arrangements relating to your unpaid internship with [NAME OF ORGANISATION].
The purpose of this letter is to describe reasonable expectations between us. This letter is not intended to be or give rise to a legally binding contract between us and your internship may be terminated at any time by either of us.
